     We have acted as counsel to Citi Trends, Inc., a Delaware corporation (the “Company”), in connection with the preparation and filing with the Securities and Exchange Commission (the “Commission”) pursuant to the Securities Act of 1933, as amended (the “Securities Act”), of the Registration Statement on Form S-1MEF (the “Additional Registration Statement”) which is being filed pursuant to Rule 462(b) under the Securities Act relating to the Company’s earlier effective registration statement, as amended, for the same offering on Form S-1 (File No. 333-130863) (the “Initial Registration Statement”; and collectively with the Additional Registration Statement, the “Registration Statements”).
