The registration statement covers a public offering of up to 1,500,000 shares of the Company's common stock by certain selling stockholders who are identified in the registration statement. The Company will not receive any proceeds from the offering. The selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 225,000 shares to cover over-allotments, if any.
